​Edward Mann is recruiting on behalf of a national charity based in Woolloomooloo. They are looking for a company secretary on a permanent full-time basis or if required, part time (4 days).

The company is looking for someone to start ASAP, candidates with the ability to start in 2 weeks or less notice are preferred. The position is also open to a temp to perm arrangement.

This is a hands-on Secretary position, working directly with the CFO and Legal Counsel. The ideal candidate will have strong experience organising and managing board meetings and other important committee meetings.

Paying up to the 140k including super + salary packaging for full-time (156k equivalent if outside NFP). If part-time that figure would be pro-rated.


  • Organise, prepare and circulate agendas, action items, minutes and all other materials of Board meetings and Committee meetings.

  • Organise end to end virtual AGM meeting which involves communication to members, distribution of papers to members, recording attendance and voting on the day.

  • Collaborate with both internal and external stakeholders to support effective Board and Committee meetings.

  • Work closely with the General Counsel to monitor changes in relevant legislation and the regulatory environment and take appropriate action.

  • Liaise with external regulators and advisers, such as the Australian Charities and Not-for-profits Commission.

  • Maintain statutory books, including registers of members and directors.

Candidate requirements:

  • Proven experience in a company secretary role with experience working managing a Board and several Committees

  • Strong time management skills, as well as attention to detail.

  • High level of integrity and independence, ability to communicate effectively in both verbal and written forms with the Board and Executive Team.

  • Track record in problem-solving skills and recommending solutions for their implementation and quick adoption.

  • Advise the Board and Chair on current best practice corporate governance requirements and practices, directors’ duties under the law, board reporting and proper meetings’ procedure.

  • Advanced computer skills – proficient in MS Office, Excel, SharePoint and Adobe
